  • Shield AI agreed on November 5, 2026, to acquire radar maker Echodyne in a deal valued at $5.3 billion, with closing expected in early 2027.
  • Of the total, $4.8 billion is paid or issued at closing, with up to $500 million contingent on Echodyne hitting performance targets.
  • Shield AI is raising $2.5 billion to fund the deal, including a $1 billion Series H at a $28.8 billion post-money valuation.
  • Echodyne’s solid-state MESA radar technology is built for counter-drone detection, extending Shield AI’s push into autonomous defense systems.

What Happened

Defense AI company Shield AI announced a definitive agreement to acquire radar maker Echodyne for $5.3 billion on November 5, 2026. The deal is Shield AI’s third acquisition since April 2025, following its purchase of an autonomy software business from Crowdbotics and its March 2026 acquisition of simulation technology firm Aechelon Technology.

Why It Matters

The acquisition pairs Shield AI’s autonomous combat drone systems with radar hardware built to detect and track smaller aircraft, a capability increasingly in demand as militaries and border agencies look to counter low-cost drone threats. It also signals continued consolidation in the defense-AI sector, where hardware and software providers are combining to offer complete systems rather than individual components.

Technical Details

Of the $5.3 billion deal value, $4.8 billion will be paid and issued at closing, with up to an additional $500 million contingent on Echodyne meeting agreed performance targets. Echodyne produces solid-state radar patented as Metamaterials Electronically Scanned Array, or MESA, technology. Shield AI is funding the acquisition with $2.5 billion in new capital: a $1 billion Series H round at a $28.8 billion post-money valuation, a $1 billion structured equity investment from funds managed by Blackstone, and $500 million in debt financing led by JPMorgan Chase Bank.

Who’s Affected

The deal affects Echodyne’s existing government and defense customers, who will transition to Shield AI’s ownership, as well as Shield AI’s investors, whose stakes are diluted by the new Series H round. Blackstone and JPMorgan Chase Bank gain direct financial exposure to the combined company through their respective equity and debt commitments.

What’s Next

The acquisition is expected to close in early 2027, subject to customary closing conditions. Shield AI has not detailed how it plans to integrate Echodyne’s radar systems into its existing autonomous drone and aircraft products.
